Role Summary

The Tax Associate will support the New York transactional tax practice, advising clients on M&A, financing transactions, portfolio investments, partnership taxation, joint venture structuring, and state tax planning. The role includes opportunities to draft articles and alerts on tax law developments, collaborate with tax partners across disciplines, and engage directly with clients on complex and novel tax issues.


Core Responsibilities

• Advise clients on tax aspects of M&A transactions, financing transactions, and portfolio investments

• Design and implement tax-efficient structures for joint ventures and corporate transactions

• Provide state tax planning advice

• Support renewable energy project structuring and incentive eligibility analysis

• Conduct legal research and draft memoranda, briefs, and client alerts

• Participate in client meetings and collaborate closely with tax team members


Must-Have Qualifications

• JD or LLM from an ABA-accredited law school

• Must be admitted or eligible for admission in New York

3+ years of transactional tax experience (corporate & partnership) in a law firm environment

• Excellent written and verbal communication skills

• Strong academic credentials; ability to analyze complex tax issues

• High professionalism, attention to detail, and strong organizational skills

• Ability to collaborate effectively in a team environment


Preferred Qualifications

• Prior accounting firm experience

• Experience with clean energy or renewable energy tax matters

• Experience advising on fund formation, capital markets, or joint venture taxation

• Ability to balance multiple matters simultaneously and work independently
